Terms of Service

Orin publishes general investment research for a broad audience. It is not investment advice, and Orin is not your investment adviser or broker. Every decision you make about your money is your own.

These Terms of Service (“Terms”) are a binding agreement between you and Orin (“Orin,” “we,” “us,” or “our”), the operator of the website and application at orin.finance (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. Who we are and what the Service does

Orin is a stock-research application for individual investors. We read primary sources — U.S. Securities and Exchange Commission (“SEC”) filings, earnings-call transcripts, institutional (Form 13F) holdings, market data, and similar public information — and publish plain-English research summaries, conviction scores, and a scored track record for a defined universe of U.S.-listed companies. We publish this material as a publisher of general research, made available on the same terms to everyone who uses the Service.

The Service is provided for informational and educational purposes only. It is a research and information product. It is not a brokerage, an exchange, a trading venue, a money-management service, or a financial-planning service.

2. Not investment advice; no personalized recommendation

Nothing on the Service is investment advice, and nothing on the Service is a recommendation to buy, sell, or hold any security or to pursue any investment strategy. Orin's summaries, scores, conviction levels, track record, screens, watchlist and portfolio features, alerts, and answers from the research assistant are impersonal, general-audience research. They do not take into account your financial situation, objectives, risk tolerance, tax position, or particular needs, and they are not tailored to you even where the Service uses your watchlist or holdings to organize what you see.

Orin is not a registered investment adviser, broker-dealer, or financial planner, and does not hold itself out as any of those. We do not provide personalized investment advice and are not registered or licensed to do so. Any figure, score, or opinion published by the Service reflects Orin's general research process at a point in time and may change or be withdrawn without notice.

You are solely responsible for your own investment decisions. You should not treat any content on the Service as a substitute for the independent judgment of a qualified professional. Before acting on anything you read here, consider obtaining advice from a licensed financial adviser, broker, or tax professional who can consider your individual circumstances.

3. No fiduciary relationship

Your use of the Service does not create any fiduciary, advisory, agency, or other special relationship or duty between you and Orin. Orin does not act as a fiduciary to you and owes you no fiduciary obligations. We do not manage assets, hold customer funds or securities, execute trades, or take custody of anything you own.

4. Accuracy, timeliness, and completeness of the research

Orin's research is generated from third-party data sources and, in part, by automated and artificial-intelligence systems that summarize and score large volumes of source material. These processes are imperfect. The content on the Service may be delayed, incomplete, out of date, or wrong. Data feeds can lag or contain errors, source documents can be misread, and automated summaries and scores can contain mistakes, omissions, or “hallucinations.”

Market data and prices shown on the Service may be delayed and are not guaranteed to be accurate, complete, or suitable for trading. You should independently verify any information that matters to a decision against the primary source before relying on it.

5. Track record and past performance

The Service may display a scored track record or historical performance of Orin's research calls. Past performance is not a guarantee of, and is not indicative of, future results. Any track record is hypothetical or historical, is presented for illustration, does not reflect the outcome of any actual investment, and does not account for trading costs, taxes, timing, or your individual circumstances. No representation is made that you will or are likely to achieve results similar to any figure shown.

6. Eligibility and your account

You must be at least 18 years old and able to form a binding contract to use the Service. You may create an account with an email address and password or by signing in with Google (via our identity provider, Amazon Cognito). You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly if you believe your account has been compromised.

7. Brokerage connections and portfolio data

The Service lets you record your holdings in two ways: by entering them manually, or by connecting a brokerage account through Plaid, our third-party data-connectivity provider. If you choose to connect a brokerage account, you authorize Orin to receive read-only information about that account — such as your holdings, positions, and balances — so that the Service can organize and personalize the research you see.

Orin can never place trades, move money, or transact on your behalf through any connection. A brokerage connection is read-only, and you can disconnect it at any time. Your use of Plaid is also subject to Plaid's own end-user terms and privacy policy. Holdings information is used to personalize your experience; it does not turn Orin's general research into personalized investment advice.

8. Email communications

By creating an account you agree that we may send you transactional emails necessary to operate the Service — for example, verification and sign-in codes and account notices. You may also opt in to non-essential emails such as watchlist alerts and a weekly digest. Every non-essential email includes a one-click unsubscribe. Our emails are sent from addresses at the orin.finance domain through Amazon Simple Email Service (SES).

9. Acceptable use

You agree that you will not, and will not attempt to:

  • use the Service in violation of any applicable law or regulation, including securities laws;
  • scrape, harvest, resell, redistribute, or commercially exploit Orin's research output or data except as expressly permitted;
  • reverse engineer, interfere with, overload, or attempt to gain unauthorized access to the Service or its underlying systems;
  • use the Service to provide investment advice to others, to operate an advisory or brokerage business, or in any way that would require Orin or you to register as a regulated entity;
  • misrepresent the Service's output as personalized advice, or remove or obscure any disclaimer.

10. Intellectual property

The Service, including its research output, scores, text, design, software, and trademarks, is owned by Orin or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial research. Underlying source data (such as SEC filings) may be subject to the rights and terms of the third parties that provide it.

11. Fees and paid plans

The Service is currently offered free of charge while in early access, and we do not collect payment information today. We may introduce paid plans or paid features in the future. If we do, we will present the applicable pricing and terms and obtain any required consent before charging you. Continued use of paid features after a price is disclosed constitutes acceptance of that pricing.

12. Third-party services and links

The Service relies on and may link to third-party services and data providers (including those named in our Privacy Policy). We do not control and are not responsible for third-party services, their content, or their availability. Your use of a third-party service is governed by that party's own terms.

13. Disclaimer of warranties

The Service and all research, data, scores, and other content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Orin disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. Orin does not warrant that the Service will be uninterrupted, timely, secure, error-free, or that any content is accurate, complete, reliable, or current. No advice or information obtained from the Service creates any warranty not expressly stated in these Terms.

14. Limitation of liability

To the fullest extent permitted by law, in no event will Orin or its founders, officers, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or investment losses, arising out of or relating to your use of — or inability to use — the Service, whether based in contract, tort, negligence, strict liability, or otherwise, even if Orin has been advised of the possibility of such damages. To the fullest extent permitted by law, Orin's total aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid Orin in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US$100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you. In that case, our liability is limited to the greatest extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless Orin and its founders, officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

16. Termination

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access if you violate these Terms or to protect the Service or its users. Provisions that by their nature should survive termination — including disclaimers, limitations of liability, and indemnification — will survive.

17. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the revised Terms.

18. Governing law and disputes

These Terms are governed by [Governing law/jurisdiction — TO BE CONFIRMED BY FOUNDER], without regard to its conflict-of-laws rules, and any dispute arising out of or relating to these Terms or the Service will be resolved in the courts located there, unless applicable law requires otherwise.
